1. Acceptance of Terms
Welcome to Kamili Calendar. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kamili Labs LLC ("Company," "we," "us," or "our"), governing your access to and use of the Kamili Calendar platform, including our website, applications, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Service Description
Kamili Calendar is a smart calendar management platform designed to help individuals and teams organize their time effectively. The Service includes, but is not limited to, the following features:
- Calendar Management: Unified calendar views, event creation, editing, and organization across multiple calendars.
- Scheduling & Booking Pages: Customizable booking pages that allow others to schedule meetings based on your availability.
- Team Coordination: Shared calendars, team availability views, and collaborative scheduling tools for organizations.
- Two-Way Calendar Sync: Real-time synchronization with Google Calendar, Microsoft Outlook, and Apple Calendar.
- Video Conferencing Integration: Automatic meeting link generation and integration with Zoom, Google Meet, and Microsoft Teams.
- Slack Integration: Calendar notifications, scheduling commands, and status syncing within Slack workspaces.
- Time Analytics: Insights and reporting on how your time is spent, meeting patterns, and productivity metrics.
We reserve the right to modify, update, or discontinue any feature of the Service at any time, with reasonable notice to affected users.
3. User Accounts
To access most features of Kamili Calendar, you must create an account. When registering, you agree to the following:
- Accurate Information: You must provide accurate, current, and complete registration information, including your name and email address. You are responsible for keeping this information up to date.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us at support@kamililabsllc.com if you suspect any unauthorized access to your account.
- One Account Per Person: Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.
- Age Requirement: You must be at least 16 years of age to create an account and use the Service. By registering, you represent that you meet this age requirement.
- Account Responsibility: You are responsible for all activities that occur under your account, whether or not you authorized them.
4. Acceptable Use Policy
You agree to use Kamili Calendar only for lawful purposes and in accordance with these Terms. You must not:
- Abuse Booking Pages: Use booking pages to send spam, unsolicited messages, or create fake bookings that waste other users' time.
- Access Others' Calendars Without Authorization: Attempt to view, modify, or access calendar data belonging to other users without their explicit permission.
- Scrape or Harvest Data: Use automated tools, bots, or scripts to scrape, crawl, or extract data from the Service.
- Automated Abuse: Use automated means to create accounts, book meetings, or interact with the Service in a manner that exceeds reasonable usage patterns.
- Interfere with the Service: Attempt to disrupt, overload, or interfere with the proper functioning of the Service, its servers, or its networks.
- Circumvent Security: Attempt to bypass, disable, or interfere with any security features or access controls of the Service.
- Misrepresentation: Impersonate another person or entity, or falsely represent your affiliation with a person or organization through booking pages or calendar events.
We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without prior notice.
5. Calendar Data & Third-Party Services
Kamili Calendar integrates with third-party calendar and productivity services to provide synchronization and enhanced functionality. By using these integrations, you acknowledge and agree to the following:
- User Responsibility: You are solely responsible for the content of your calendar events, including event titles, descriptions, attendee lists, and any other data you enter into the Service.
- OAuth-Based Sync: We connect to Google Calendar, Microsoft Outlook, and Apple Calendar via OAuth authorization. You grant us permission to read and write calendar data as necessary to provide the synchronization features you enable.
- Third-Party Terms: Your use of third-party integrations (including Google, Microsoft, Apple, Zoom, Slack, and others) is subject to those providers' respective terms of service and privacy policies. We encourage you to review those terms.
- Third-Party Availability: We do not control the availability, reliability, or functionality of third-party services. We are not responsible for any disruptions, data loss, or errors caused by third-party service outages or changes to their APIs.
- Revoking Access: You may revoke our access to your third-party accounts at any time through the respective provider's settings. Doing so may limit or disable certain features of Kamili Calendar.
6. Payment Terms and Billing
Kamili Calendar offers the following subscription plans:
- Free Plan: Basic calendar management features at no cost, subject to usage limitations.
- Pro Plan: Advanced features including unlimited booking pages, priority support, and extended integrations, available for a monthly or annual subscription fee.
- Team Plan: All Pro features plus team collaboration tools, shared calendars, admin controls, and team analytics, available for a per-seat monthly or annual subscription fee.
Payment Processing: All payments are processed securely through Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service.
Auto-Renewal: Paid subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You may cancel your subscription at any time from your account settings.
Refund Policy: If you cancel a paid subscription, you are eligible for a pro-rated refund for the unused portion of your current billing period. Refund requests must be submitted within 30 days of the charge.
Price Changes: We may change our subscription prices from time to time. We will provide at least 30 days' advance notice of any price changes. Price changes will take effect at the start of your next billing cycle following the notice period.
7. Intellectual Property
Our Property: The Kamili Calendar name, logo, branding, user interface designs, software, technology, and all related intellectual property are owned by Kamili Labs LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.
Your Calendar Data: You retain full ownership of all calendar data, event information, and other content you create or import into Kamili Calendar. We claim no ownership rights over your data.
Feedback: If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such feedback into the Service without any obligation to you.
8. User Content and Data
You may create, upload, or import various types of content into Kamili Calendar, including but not limited to:
- Calendar events, including titles, descriptions, locations, and attendees
- Booking page configurations, descriptions, and availability rules
- Team workspace data, including team names, member lists, and shared calendars
- Profile information and preferences
Ownership: You retain full ownership of all content you create or import into the Service. We do not claim any ownership rights over your content.
License to Provide the Service: By using Kamili Calendar, you grant us a limited, non-exclusive, worldwide license to access, store, process, and display your content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your content or close your account.
Data Portability: You may export your calendar data at any time through your account settings. We support standard calendar formats (ICS) to ensure you can easily transfer your data to other services.
9. Service Availability
We strive to provide a reliable and highly available Service. However, you acknowledge and agree that:
- Best Efforts Uptime: We use commercially reasonable efforts to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation.
- Scheduled Maintenance: We may perform scheduled maintenance that temporarily affects Service availability. We will endeavor to provide advance notice of planned maintenance windows and schedule them during off-peak hours.
- Third-Party Dependencies: Calendar synchronization and integrations depend on the availability of external services (Google, Microsoft, Apple, Zoom, Slack, etc.). Disruptions to these services may temporarily affect Kamili Calendar functionality.
- No Guarantee: We do not guarantee that the Service will meet all of your requirements, or that any errors or defects will be corrected within a specific timeframe.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAMILI LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Missed events, appointments, or scheduling errors resulting from synchronization delays, third-party service outages, or technical issues
- Damages arising from unauthorized access to your account or data
- Any interruption or cessation of the Service or third-party integrations
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Kamili Labs LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your calendar content or booking page configurations that infringe upon the rights of any third party
- Any unauthorized use of your account, whether or not you authorized such use
12. Termination
By You: You may terminate your account at any time by accessing your account settings and selecting the option to delete your account. Upon termination, your right to use the Service will cease immediately.
By Us: We may suspend or terminate your account at any time, with or without cause, including but not limited to violations of these Terms or the Acceptable Use Policy. We will make reasonable efforts to notify you before or promptly after any termination.
Data Export: Following account termination, your calendar data will be available for export for a period of 30 days. After this period, we will permanently delete your data from our systems, except where retention is required by law.
Survival: Sections relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive the termination of these Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state in which Kamili Labs LLC is incorporated, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located within the jurisdiction of Kamili Labs LLC's principal place of business. You consent to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
14. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:
- Provide at least 30 days' advance notice before the changes take effect, via email notification to the address associated with your account or through a prominent notice within the Service.
- Update the "Last Updated" date at the top of these Terms.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
